Terms of Service

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS.

Part I — The Service

1. Description of the Service

Lean$tock provides an AI-powered inventory management, aging-stock analysis, liquidation planning, and regulatory compliance-checking platform for businesses. Core features include:

Inventory file upload and automated aging-stock classification
AI-generated liquidation plans with pricing recommendations and channel guidance
AI-powered compliance checking against UAE regulatory frameworks (Dubai Municipality, ESMA, UAE Federal Law, Dubai Customs)
An action tracker for managing aging inventory items
An in-product AI advisor chatbot providing data-backed inventory insights
Analytics dashboards tracking recovery trends over time
Team management enabling multi-user access within a company account

2. Eligibility

To use the Service, you must be at least 18 years of age, have legal capacity to enter into binding agreements, be using the Service for lawful commercial or business purposes, and not be located in a jurisdiction subject to UAE, US, or EU trade embargo or sanctions.

3. Account Registration and Security

You must provide accurate, complete, and current registration information. You are responsible for maintaining the confidentiality of your credentials and all activities conducted under your account. Notify us immediately at support@leanstock.app if you suspect unauthorised use.

Part II — Acceptable Use

4. Permitted Use

Subject to these Terms and your subscription plan, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

5. Prohibited Conduct

5.1 Illegal Activities

Violate any applicable local, national, or international law or regulation
Launder money, finance terrorism, or engage in fraudulent transactions
Upload inventory data relating to prohibited, counterfeit, or sanctioned goods
Circumvent UAE customs or trade regulations

5.2 Harmful or Abusive Conduct

Upload data containing malware, viruses, or malicious code
Conduct denial-of-service attacks or interfere with the Service
Scrape or extract data from the Service by automated means without prior written consent
Attempt to gain unauthorised access to other users' accounts or data

5.3 Misuse of AI Features

Attempt to reverse-engineer AI model weights or system prompts
Use AI-generated outputs as the sole basis for legally significant decisions without human review
Submit prompts designed to cause the AI to generate harmful or illegal content ("jailbreaking")
Rely on AI compliance outputs as a substitute for qualified legal advice

Part III — Data Ownership & Intellectual Property

6. Your Data

Ownership: You retain all ownership of and intellectual property rights in the data, content, and files you upload ("Your Data"). These Terms do not transfer any ownership to Lean$tock.

Licence to Lean$tock: By uploading Your Data, you grant Lean$tock a limited licence to process, store, and use Your Data solely to provide the Service, maintain and secure the Service (using only anonymised/aggregated data), and comply with legal obligations.

No AI Training: We do not use Your Data to train, fine-tune, or develop any AI model.

7. Lean$tock's Intellectual Property

The Service, including its software, algorithms, UI design, trademarks, logos, and documentation, is owned by or licensed to Lean$tock. You may not copy, modify, distribute, decompile, or create derivative works based on the Service.

Part IV — AI Services — Specific Terms

All AI-generated outputs — including liquidation plans, compliance flags, pricing recommendations, and chatbot responses — are INFORMATIONAL AND ADVISORY IN NATURE ONLY. They do not constitute legal advice, financial advice, or regulatory guidance.

8. Nature of AI Outputs

Advisory Only: AI outputs do not constitute legal, financial, or regulatory advice.
No Guarantee of Accuracy: We do not warrant accuracy, completeness, or fitness for any particular purpose.
Regulatory Compliance — Limitation: Compliance checking results do not constitute a legal determination. Obtain qualified legal advice before making compliance decisions.
Human Responsibility: You will review all AI outputs before acting and bear sole responsibility for any decisions made based on AI outputs.
AI Provider Terms: Your use of AI features is subject to Anthropic's usage policies: anthropic.com/legal/aup

Part V — Fees, Billing & Subscription

9. Fees and Payment

Access to the Service may be subject to subscription fees. We reserve the right to introduce fees with 30 days' prior notice.
All fees are quoted in UAE Dirhams (AED) and are exclusive of applicable taxes (including UAE VAT).
Subscriptions are billed in advance. Failure to pay fees may result in account suspension.
All payments are non-refundable except as required by applicable law.

Part VI — Liability & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Lean$tock shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data. Lean$tock's aggregate liability shall not exceed the greater of: (A) the amount you paid to Lean$tock in the 12 months preceding the claim; or (B) AED 500.

Part VII — Term & Termination

14. Termination by You

You may terminate your account at any time by using the account deletion function or by contacting support@leanstock.app. Pre-paid fees are not refundable upon voluntary termination unless required by law.

15. Termination by Lean$tock

We may suspend or terminate your account immediately if you breach any provision of these Terms, engage in conduct posing a risk to Lean$tock or other users, or if required to do so by law. Upon termination, your data will be retained for 30 days during which you may request export, after which it will be deleted.

Part VIII — Governing Law & Disputes

16. Governing Law

These Terms are governed by the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Dubai, without regard to conflict of law principles.

17. Dispute Resolution

The parties shall first attempt to resolve disputes through good-faith negotiations for 30 days. Unresolved disputes shall be submitted to binding arbitration administered by the Dubai International Arbitration Centre (DIAC). Seat: Dubai, UAE. Language: English.

Part IX — General Provisions

21. Entire Agreement

These Terms, together with the Privacy Policy and AI & Data Usage Disclosure, constitute the entire agreement between you and Lean$tock regarding the Service.
